Terms of Service

1. Acceptance of Terms

By accessing this website or engaging Constellation Eco Consultancy for any service, you agree to be bound by these Terms of Service. If you do not agree to these terms, please discontinue use of this website and do not engage our services. These terms apply to all clients, partners, collaborators, and website visitors.

2. Services

Constellation Eco Consultancy provides marine science consultancy services including, but not limited to, GIS-based marine resource mapping, fisheries stock assessments, socio-economic community research, environmental laboratory analysis, and sustainability advisory. The specific scope, deliverables, timelines, and fees for each engagement are agreed in a separate written Scope of Work or Service Agreement prior to commencement.

3. Intellectual Property

All reports, maps, data sets, methodologies, and materials produced by CEC in the course of an engagement are the intellectual property of Constellation Eco Consultancy unless otherwise agreed in writing. Upon full payment of all outstanding fees, CEC grants the client a non-exclusive licence to use the deliverables for the purposes specified in the Scope of Work. Unauthorised reproduction, distribution, or commercial use of CEC materials is prohibited.

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during an engagement. CEC will not disclose client data or project details to third parties without prior written consent, except where required by Papua New Guinea law or regulatory bodies such as the National Fisheries Authority (NFA).

5. Payment Terms

Invoices are payable within the timeframe specified in the applicable Scope of Work or Service Agreement. Late payments may incur interest charges. CEC reserves the right to suspend service delivery until outstanding amounts are settled. All fees are quoted and payable in Papua New Guinea Kina (PGK) unless otherwise agreed in writing.

6. Limitation of Liability

To the fullest extent permitted by law, Constellation Eco Consultancy shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or reliance on our reports and recommendations. Our total liability in any matter is limited to the fees paid by the client for the specific service giving rise to the claim.

7. Warranties and Disclaimers

CEC warrants that its services will be performed with reasonable care and skill in accordance with applicable scientific standards. All reports and recommendations represent CEC's professional opinion based on data available at the time of the assessment. CEC does not guarantee specific regulatory outcomes or commercial results arising from the implementation of its recommendations.

8. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable Scope of Work. In the event of termination, the client is responsible for payment of all services rendered up to the date of termination. CEC reserves the right to terminate any engagement immediately in the event of non-payment or material breach of these terms.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Papua New Guinea. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Papua New Guinea.

10. Amendments

CEC reserves the right to amend these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date. Continued use of our website or services following any amendment constitutes acceptance of the revised terms.
